INVESTMENT FACILITATION SERVICES
(IFS)
In order to
facilitate dynamic interaction between investors and investees, to enhance
necessary co-ordinations for doing effective business, and helping to promote
local and foreign investments in potential Iranian projects, Rah Shahr
International Group, as a Holding Consulting Engineers, has established
Investment Facilitation Services (IFS) department within its multi
disciplinary organization.
IFS assists:
o Investors interested in doing business in Iran by helping them find the right
path to achieve their investment goals and to protect their interests; and
o Investee organizations and companies nationwide by developing projects,
searching for investors, promoting investment projects and protecting their
interests.
Supportive Service to Investors
IFS offer following services to investors:
o Dealing with investees regarding the interests of investors
dialogue the interests of the investor with relevant investees;
assistance in obtaining permits and approvals according to the legislation of
Iran;
organizing meetings with relevant authorities to support the investment
project.
o Selection of investment platform
search investment fields based on criteria set forth by the investor.
o Assistance in selection and cost analysis of investment attractive industrial
sites, land plots and other property items
selection of industrial sites and land plots;
technical due diligence of land (description, location, infrastructure,
potential
obstacles and other urban planning risks, technical conditions, possible
land use);
examination of documents for land to ascertain authenticity and compliance
with applicable laws;
development of mechanisms to use, register and transfer of land for the
formation of industrial parks, complexes,
assessment of market value of the land plots.
o Assisting in establishment of joint ventures and other entities
providing a range of services for establishment of joint ventures and other
companies for the implementation of investment projects in Iran;
assisting in preparation of contracts on joint activities, terms of
cooperation,
investment contracts, shareholder agreements, etc.,
o Mergers and acquisitions (M&A) support
Rendering a full range of services in support of M&A transactions including:
- legal diligence of companies involved in the transaction;
- the structuring of the transaction, with a thorough description of each stage
of its implementation and preparation of documents;
- analysis of legal transparency of tangible and intangible assets;
- appraisal of tax consequences of M&A transactions.
o Investment project risk management
analytical services including definition areas of risk and its causes, risk
identification and assessment;
assisting in risk management through development of risk mitigation strategies
and implementation of preventive and corrective measures.
o Helping in development and structuring of investment projects
helping in structuring or restructuring of the investment project based on the
requirements specified by investors and funding agencies.
o Information collection and market analysis
collecting information, market research and analysis in keeping the investors
interests by means of analysis of products/services, consumers, competitors and
marketing costs and developing a marketing plan.
o Business plan of the investment project
preparing business plans in accordance with international standards through a
comprehensive assessment of capabilities of the investment project which at
least includes market research (analysis of the country, regional and world
market); justification of the investment size, current project costs and payback
period; risk management; development of sales plan based on marketing research;
project revenue forecast based on a qualitative study of the market.
o Assisting in development of financial plans of the investment project
helping in preparation of the financial plan which includes calculation of key
performance indicators such as the payback period, profitability ratios, net
present value, internal rate of return and break-even point.
o Pre-Feasibility & Feasibility Studies (PFS/FS)
preparing PFS/FS to determine:
- the volume of investment required;
- the payback period of the project;
- the effects of relevant measures such as reduction of production costs,
increased productivity, etc.;
o Due Diligence
conducting professional due diligence to identify and assess existing legal
and other risks and to develop effective solutions for elimination of the
shortcomings in a timely manner;
assessing history and reputation of business partners and collecting
information on actual state of affairs and structure of enterprises.
o Support in attraction of additional investments
rendering a range of support services to attract additional investments into
the project by:
- searching for potential co-investors interested in the project;
- identifying the strengths and weaknesses of the project regarding investment
attractiveness in terms of separate requirements specified by co-investor(s);
- assistance in preparation of relevant documents regarding the requirements of
co-investors;
- organizing negotiations and transaction support in case of readiness of a
co-investor to participate in the project.
Supportive Services to Investees
IFS offer the following services to investees:
o Search for investment ideas and development of investment projects
finding and attracting foreign investors at any stage of the project through a
wide range of services which include:
- preparing investment packages in accordance with international standards;
- preparing the list of investors for each investment project;
- services for possible entry of the investor and the investor's withdrawal from
the project;
- assisting in identification of the financing scheme of the project;
- advisory services on preparation and realization of the investment project
issues.
o Promotion of investment projects
accommodating investment projects in the virtual Investment Promotion Unit (IPU)
and directing information;
direction of information materials to potential investors about the investment
project, including summary of the projects, business plan, procurement
arrangement and other supporting information;
promotion of investment projects in international events, round tables,
business missions, etc., to establish business relations with international
companies interested in fostering economic relations;
organizing virtual meetings and negotiation with prospect investor;
arrangement of webinars and special seminars.
o Preparation of investment site
selection of land for investment projects;
evaluation of investment attractiveness of land and industrial sites;
development of mechanisms to use, register and transfer of land for the
formation of industrial parks, complexes, etc.
o Assisting in establishment of joint ventures and other entities

companies for the implementation of investment projects in Iran;

Urban Planning
Guiding Long-term Physical Developments
Urban, city,
and town planning is the integration of the disciplines of land use planning and
transport planning, to explore a very wide range of aspects of the built and
social environments of urbanized municipalities and communities. Regional
planning deals with a still larger environment, at a less detailed level.
At Rah Shahr International Group, the current discipline revisits the synergy of
the disciplines of urban planning, architecture and landscape architecture.
Sustainable development and sustainability have become important concepts in our
organization's urban planning field, with the recognition that current
consumption and living habits may be leading to problems such as the overuse of
natural resources, ecosystem destruction, urban heat islands, pollution, growing
social inequality and large-scale climate change.
Our urban planners have, as a result, begun to advocate sustainable development.
Environmental protection and conservation are of utmost importance in planning
systems utilized by the Rah Shahr Group and attempts are made to minimize the
overall effect of development on the local and global environment. This is
commonly done through the assessment of sustainable urban infrastructure.
The urban planners at Rah Shahr use a number of quantitative tools to forecast
impacts of development on the environment. The main objectives of this
department has always been to implement advanced know-how in planning and

The most important responsibilities of any

GOALS AND
OBJECTIVES
Rah Shahr International Group's overall goal is to create an organizational
culture in which HSE principles are fully understood and are applied on an equal
balance with other management spheres of operation. To this end specific HSE Key
Objectives and Targets to create a framework for performance improvement has
been set on an annual basis.
HSE MANAGEMENT SYSTEM (HSE-MS)
The Rah Shahr HSE-MS operates in accordance with ISO 14001:2004 as well as
OHSAS 18001:2007 requirements.

GIS
To Understand Today and Plan a Better Tomorrow
A geographic
information system (GIS), captures, stores, analyzes, manages, and presents data
that refers to or is linked to location. GIS describes any information system
that integrates, stores, edits, analyzes, shares, and displays geographic
information and are tools that allow users to create interactive queries (user
created searches), analyze spatial information, edit data, maps, and present the
results of all these operations. Geographic information science is the science
underlying the geographic concepts, applications and systems.
At Rah Shahr International Group, GIS technology is used for scientific
investigations, resource management, asset management, environmental impact
assessment, urban planning, cartography, geographic history, marketing,
logistics, and other purposes. For example, GIS allows our staff to site a new
business location to take advantage of a previously under-served market.
The GIS Department of the Group helps in the management and analysis of large
volumes of data, allowing for better understanding of processes and better
management of human activities to maintain economic vitality and environmental

Spatial Planning
To Safeguard Inter-generational Resources and "Sustainable Development"
Spatial planning refers to the
methods of managing the distribution of people and activities in spaces of
various scales.
Rah Shahr's Spatial Planning Department is fully involved in all levels of
planning: national spatial plans, land use and urban planning, regional planning
and environmental planning.
The main goal of the Spatial Planning Department is to create collaboration and
harmony between the three elements of human, space and activity, which results
into a logical distribution and arrangement of activities in a given
geographical area.

Civil Engineering
Civil Engineering Gives us Quality of Life!
Civil engineering is the oldest
branch of the profession of engineering after military engineering. This
discipline deals with the design, construction and maintenance of the physical
and naturally built environment, including works such as bridges, roads, canals,
dams and buildings.
Rah Shahr Civil Department was established in 1992. For the first three years,
both the studies and designing programs were specialized in structural
engineering, but since 1995 its programs have been extended to other fields of
civil engineering. The members of the department are creative, detail-oriented
and able to work as part of the team. As such, the team enjoys an excellent
reputation based on the development of its extended programs leading to
professional degrees and projects.

The Enterprise Project Management
Office (EPMO) is an organizational unit to centralizing and coordinating the
management of projects under its domain. The Enterprise Project Management
Office (EPMO) is a service provider for Rah Shahr International Group, created
for the specific purpose of supporting Rah Shahs Portfolios, Programs and
Projects.
EPMO provides training, coaching, guiding and mentoring for our project
managers- providing a workforce of competent project managers. Another EPMO's
aim is to standardize project management methodology, continuous project
management optimization, Portfolio management and transferring knowledge through
coaching and mentorship.

Research & Development
Sharing Our Knowledge with Others
The R&D Department of Rah Shahr
International Group was formed almost immediately after the incorporation of the
company with the aim of obtaining and collecting engineering related data and
information and utilizing it in its design projects as well as conveying them to
the company's existing and potential clients and technical institutions,
national and local authorities.
The activities of the R&D Dept. started by translating building engineering
related subjects, compiling and issuing them in the form of periodical magazines
and occasional technical bulletins distributed free of charge to organizations
and clients.
The department later on engaged in writing and translating technical,
engineering and miscellaneous books as part of its promotion scheme. These too
were distributed free of charge to institutions as well as polytechnics and
universities in order to share new technologies and know-how and published by
themselves and sometimes doing the same for governmental institutions and
ministries. The scope of the subjects of all publications is quite diversified
and their titles are listed below.
It is noteworthy that some of Rah
Shahr International Group's own publications are prepared as part of a scheme
that every Rah Shahr department or affiliated company* should devote between 5
to 10 percent of its net income for R&D activities. The said amount is either
paid in cash to the R&D dept. to undertake its responsibilities or submitted in
the form of a technical article to be published after review, edit and
acceptance by the R&D dept.
* There are
currently 25 Rah Shahr departments and 15 Rah Shahr affiliated national and
international companies.

Transportation planning is one of
the main disciplines of urban planning. A proper integration of the different
aspects of urban planning leads to a sustainable, favorable and idealistic
design. Thus, an appropriate relation among different aspects of urban planning

The Transportation Planning Department of Rah Shahr International Group was
founded in 2000 with a team of well qualified traffic engineers and
transportation planners graduated from the best academic institutions.
The department has prepared transportation studies for many of the major cities
in Iran and the Middle East. Its planners focus on making every plan
sustainable, cost effective, and acceptable to the public. Furthermore, the
planners know what type of environmental assessment is required, when and who
needs to be involved in its preparation, and how to secure the project.
Rah Shahr's expert planning sets
the stage as any project progresses toward implementation. Also its technical
expertise enables decision makers to deliver on their promises, while hands-on
experience, guarantees that the clients will meet all required regulatory
processes.
Through the use of operational simulations the client and the stakeholders will
be provided with a visually understanding of the project and its impacts and
ensure that the project when completed will operate as intended.
